Bluewave Cleaning Services LLC

1. Acceptance of Terms
By accessing this website, booking services, or purchasing products from Bluewave Cleaning Services LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our website, services, or products.
2. Services and Products Provided
Bluewave Cleaning Services LLC provides residential and commercial cleaning services. We also offer cleaning-related products and digital products — including Cotiva, our pricing and proposal software — through our website.
All services are subject to availability and confirmation. Digital products are delivered electronically as described in Section 9.
3. Service Bookings
Services may be scheduled via website, telephone, email, or written agreement. Bookings are not final until confirmed by the Company. We reserve the right to refuse service at our discretion.
4. Cancellation Policy
Cancellations of cleaning services must be made at least 48 hours prior to the scheduled service time. Late cancellations or missed appointments may result in a cancellation fee, a minimum service charge, or forfeiture of deposit (if applicable).
5. Payment Terms
Payment terms for services are disclosed at the time of booking. Digital products are paid in full at the time of purchase. We accept major credit and debit cards and approved online payment platforms. Payment is due as specified in your service agreement or invoice. Late payments may incur additional fees.
6. Access to Property
Clients must provide safe and reasonable access to the property at the scheduled service time. If entry cannot be obtained, a lockout or trip fee may apply.
7. Client Responsibilities
Clients agree to:
- Disclose hazardous conditions
- Secure pets
- Remove fragile or high-value items
- Provide running water and electricity
We are not responsible for pre-existing damage, improperly installed fixtures, or wear and tear.
8. Satisfaction Policy (Services)
Concerns regarding cleaning services must be reported within 24 hours of service completion. We may, at our discretion, return to address service-related concerns. Refunds for services are not guaranteed.
9. Digital Products and Software License (Cotiva)
This section applies to Cotiva and any digital product purchased through our website.
a. License Grant. Purchasing Cotiva grants you a limited, non-exclusive, non-transferable license to use the product for your own cleaning business. The license is for the named buyer only.
b. Restrictions. You may not resell, redistribute, sublicense, rent, or publicly share your download file or license key; upload the product to file-sharing or distribution sites; sell or distribute modified versions; use the product as the basis for a competing product; or remove any license, copyright, or attribution notices.
c. Delivery and Activation. Cotiva is delivered electronically and is accessible immediately after purchase. A license key is required to activate the product. The license key is issued to you for your own use and is not transferable.
d. Pricing Accuracy. Cotiva provides pricing estimates and calculation support only. It does not guarantee profit, revenue, contract awards, bid acceptance, local market accuracy, or legal, tax, accounting, payroll, or labor-law compliance. You are solely responsible for verifying wage requirements, taxes, insurance, overhead, supply and travel costs, production rates, service scope, and the final price you offer your clients.
e. No Professional Advice. Cotiva is a calculation tool and is not a substitute for professional legal, tax, accounting, insurance, or business advice. You should consult qualified professionals before relying on any assumptions or outputs from the product.
f. Refunds. Digital products are non-refundable once the file has been downloaded or accessed or the license key has been activated, except as described in our Refund Policy.
g. "As Is." Cotiva and all digital products are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability or fitness for a particular purpose.
10. Website Use
You agree to use our website only for lawful purposes and in a manner that does not damage, disable, or impair the site. Unauthorized use of this website may result in legal action.
11. Intellectual Property
All website content, software, branding, logos, text, graphics, and materials — including the Cotiva product and its underlying code — are the property of Bluewave Cleaning Services LLC and are protected by applicable intellectual property laws. No content may be copied, reproduced, or distributed without written permission.
12. SMS Communications Terms
By providing your mobile number and affirmatively opting in, you consent to receive SMS messages from Bluewave Cleaning Services LLC.
Message types may include appointment reminders, service notifications, quote follow-ups, customer support responses, and promotional messages (if separately consented). Message frequency varies. Message and data rates may apply.

SMS consent is not a condition of purchase. Mobile information will not be shared with third parties for marketing or promotional purposes.
13. Limitation of Liability
To the fullest extent permitted by law, Bluewave Cleaning Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from your use of our services, website, or products. Total liability shall not exceed the amount you paid for the specific service or product giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Bluewave Cleaning Services LLC and its officers, employees, agents, and affiliates from any claims arising from your misuse of our services or products, violation of these Terms, or negligent or unlawful conduct.
15. Force Majeure
We are not liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, weather, labor disputes, or governmental actions.
16. Modifications
We may update these Terms at any time. Updates will be posted on our website with a revised effective date. Continued use of our services, website, or products constitutes acceptance of the revised Terms.
17. Governing Law
These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.
